• Mergers, Acquisitions and Disposals: Acting for a global packing manufacturer on its acquisition of two manufacturing plants in France and the Czech Republic from the world's largest packing manufacturer and the simultaneous disposal to the same party of one of our client's manufacturing plants in Germany, with a combined deal value of over €100 million.
• Mergers, Acquisitions and Disposals: Advising a leading Israeli software supplier on the acquisition of a UK based software developer. The transaction involved the simultaneous grant of structured put and call options and included a complex earn-out mechanism relating the purchase price to the future performance of the company.
• Mergers, Acquisitions and Disposals: Advising a UK based supplier of internet marketing solutions on the sale of its business to a leading US based marketing company. The transaction involved the granting of stock options to directors, and the complex merging of UK and US employee share ownership plans to ensure favourable tax relief was maintained for UK option-holders despite the need to reflect the terms of the US stock plan.
